ARS PROGRAMMATICA

Introduction

These Terms of Use ("Terms") are a binding agreement between you and ARS PROGRAMMATICA, based in Istanbul, Türkiye ("Mira", "we", "us", or "our"), governing your use of the Mira mobile application and related services (the "Service"). By downloading, accessing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

1. The Service

Mira is an AI companion app that lets you have live, face-to-face voice and video conversations with "Mira," an artificial-intelligence character designed to be a warm, supportive companion. The Service is provided for ENTERTAINMENT AND COMPANIONSHIP PURPOSES ONLY.

2. AI Disclaimer — Please Read

• Mira is an ARTIFICIAL INTELLIGENCE, not a real person. Responses are generated by AI and may be inaccurate, incomplete, or inappropriate.
• Mira is for ENTERTAINMENT AND COMPANIONSHIP PURPOSES ONLY. Mira may remember and naturally follow up on things you choose to share; this is a personalization feature, not treatment, counseling, coaching, or monitoring of any kind. Please do not share sensitive personal information (such as health details, financial account numbers, or government IDs) during conversations. You can erase Mira's memory of you at any time in the App.
• Mira is NOT a substitute for professional advice. She is not a therapist, counselor, physician, lawyer, or financial advisor, and nothing she says is medical, mental-health, legal, or financial advice.
• Mira is NOT an emergency service. If you are in crisis or experiencing thoughts of self-harm or harm to others, or if you face a medical or safety emergency, contact your local emergency number or a qualified crisis line immediately.
• Do not rely on Mira for important decisions. Use your own judgment.

3. Eligibility

You must be at least 17 years old (or the age of majority where you live) and able to form a binding contract to use the App. By using the App you represent that you meet these requirements.

4. Accounts

The App creates an anonymous account for you automatically. You are responsible for activity that occurs through your device and account. You may provide optional profile details (name, age, gender, pronouns) to personalize your experience; you can edit or remove them at any time.

To personalize conversations, Mira keeps short text "memory" notes about what you have shared (see our Privacy Policy). Conversation recordings and transcripts held by our AI providers are automatically deleted within 12 hours of a call, and you can erase Mira's memory notes and your conversation data at any time in the App (Profile → Delete conversations & memory).

5. Subscriptions (Auto-Renewable)

The App offers auto-renewable weekly subscriptions through the Apple App Store. Each tier includes a set number of conversation minutes per week:

Auto-renewable subscription terms

• Title: Mira Membership (Companion / Confidant / Soulmate).
• Length: 1 week, recurring.
• Price: the price shown on the purchase screen in the App, per week.
• Payment is charged to your Apple ID account upon confirmation of purchase.
• Your subscription automatically renews for the same period unless you turn off auto-renew at least 24 hours before the end of the current period.
• Your Apple ID account is charged for renewal within 24 hours prior to the end of the current period, at the then-current price of the plan.
• You can manage or cancel your subscription, and turn off auto-renewal, in your Apple ID Account Settings after purchase. Deleting the App does not by itself cancel your subscription.
• Any unused portion of a free trial (if offered) is forfeited when you purchase a subscription, where applicable.

Included minutes are granted per weekly period and do not roll over to the next period unless we state otherwise. If you use all included minutes, you may upgrade your plan or buy a minutes top-up to continue.

6. Minutes Top-Ups (Consumable)

The App offers a one-time, consumable "minutes top-up" that adds extra conversation minutes to your balance (for example, +20 minutes). Top-up minutes:

• Are a one-time purchase (not a subscription) charged to your Apple ID.
• Are added to your minutes balance and can be used at any time; top-up minutes do not expire unless required by law.
• Are consumed as you use them and, once consumed, are not restorable.
• Are generally non-refundable except as required by law or Apple's policies.

7. Payments, Refunds & Apple

All purchases are processed by Apple through your Apple ID and are subject to the App Store Terms of Service and Apple's standard End User License Agreement (Licensed Application End User License Agreement), available at: apple.com/legal/…/stdeula

We do not process or store your payment-card details. Refund requests are handled by Apple in accordance with Apple's policies; we generally cannot grant refunds directly. Subscription management and cancellation are done in your Apple ID Account Settings.

We use RevenueCat to validate purchases and manage subscription status. We use Apple to process all payments.

8. Acceptable Use

You agree not to:

• Use the App if you are under the minimum age or where prohibited by law.
• Use the App for unlawful, harmful, harassing, hateful, or abusive purposes.
• Attempt to generate or solicit sexual content involving minors, illegal content, or content that violates others' rights.
• Reverse engineer, scrape, overload, disrupt, or attempt to gain unauthorized access to the App, its providers, or other users' data.
• Resell, sublicense, or commercially exploit the Service without permission.

We may suspend or terminate access for violations.

9. Third-Party Services

The Service relies on third-party providers, including Tavus (real-time AI avatar video and speech, using AI subprocessors such as OpenAI for language models and Cartesia for voice synthesis), Anthropic (conversation memory), Daily.co (real-time video transport), Google Firebase (authentication and data storage), RevenueCat (purchase management), and Apple (payments). Your use of the Service is also subject to those providers' applicable terms. We are not responsible for third-party services we do not control.

10. Intellectual Property

The App, the "Mira" character, and all related content, software, and trademarks are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms and Apple's standard EULA. You retain any rights you have in content you provide.

11. Assumption of Risk & Your Responsibility

By using the Service, you acknowledge and agree that:

• Mira is an AI character provided for entertainment and companionship purposes only. Conversations are generated by artificial intelligence in real time and are not written, reviewed, or supervised by humans.
• Conversations may involve personal or emotional topics. You choose what you share, and you remain solely responsible for your own decisions, actions, and wellbeing.
• You will not rely on Mira for medical, mental-health, legal, financial, or other professional advice, and you will seek a qualified professional — or, in an emergency, your local emergency services or a crisis line — for any matter that requires it.
• AI-generated responses can be inaccurate, incomplete, or inappropriate despite our safeguards, and you use the Service with that understanding.

To the maximum extent permitted by applicable law, you assume all risks arising from your use of the Service and from any reliance you place on content generated by it.

12. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless ARS PROGRAMMATICA and its officers, employees, contractors, and service providers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your unlawful use of the Service or use in violation of Section 8 (Acceptable Use); or (c) content you submit to the Service that infringes or violates the rights of any third party. This obligation does not apply where prohibited by applicable consumer-protection law.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Termination

You may stop using the App at any time and cancel subscriptions via your Apple ID Account Settings. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination will survive.

16. Changes to the Service or Terms

We may modify the Service or these Terms. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Continued use after changes take effect constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws rules, except where the mandatory consumer-protection law of your country of residence requires otherwise. Apple's standard EULA also applies to your use of the App.
